Dear Sirs,

In consideration of your, at our request, issuing us clean bill of lading for the under-mentioned goods, for which exceptions had been inserted in the relative mate’s receipt as attached, we, the undersigned, hereby agree to the following terms and conditions:

1. To indemnify you and each of you, and your servants, employees and agents, and the vessel, her charterer and agents and to hold all of the above-mentioned harmless in respect of liabilities, losses or damages of whatsoever nature which you may sustain by reason of issuing of the clean bill of lading as aforesaid.

2. In the event of any proceedings being commended against you and/or any your servants and/or agents, your vessels and/or properties belonging to you, in connection with and/or as a result of the issuance of clean bill of lading as aforesaid, to provide your or them from time to time with sufficient funds at your request to defend the same.

3. If the vessel or any other vessels and/or properties belonging to you should be arrested or detained or if the arrest or detention thereof should be threatened , in connection with and/or as a result of issuance of the clean bill of lading as aforesaid, to provide such bail or other security as may be requested to prevent such arrest or detention or to secure the release of such vessel and vessels and/or properties and to indemnify you any losses, damages and expenses caused by such arrest or detention whether or not the same may be justified.

4. The liability of each and every person under this indemnity shall be joint and several and shall not be conditional upon your proceeding first against any person, whether or not such person is party to or liable under this indemnity.

5. This indemnity shall be construed in accordance with Chinese law and each and every person liable under this indemnity shall at your request submit to the jurisdiction of the Maritime Courts in China.
